Founding Vendor Terms

These Founding Vendor Terms (“Founder Terms”) apply exclusively to Vendors accepted into the following tiers:

Origin Makers (Internal Founders)
The Sacred Seven (Founders 1–7)
The Circle of Fifteen (Founders 8–15)
The First Twenty-Five (Founders 16–25)
The Founders’ Guild (Founders 26-50)

By accepting Founder status and creating a Vendor account, you agree to these terms in addition to the Vendor Agreement, Terms of Service, Privacy Policy, and Marketplace Code of Conduct.

1. Purpose of the Founding Tiers

Founder tiers were created to recognize and reward the earliest supporters of WitchesMarketplace.com with exclusive benefits, reduced fees, and elevated visibility during the launch of the platform.

Founder status is permanent and non-transferable, except as noted in these Terms.

2. Founder Tier Structure & Benefits

A. ORIGIN MAKERS

Benefits:

0% listing fees permanently
0% commission for life (locked)
Permanent top placement on the About Page
Priority feature on the Home Page rotation

These spots are closed and cannot be reassigned.

B. THE SACRED SEVEN (1–7 External Founders)

Benefits:

7% commission for life (locked)
No listing fees for life
Founding spotlight on the About Page
Elite Founder Badge displayed on shop + product pages
Occasional platform-wide promotional boosts

Restrictions:

Only 7 spots exist; once filled, they never reopen.
Status cannot be transferred or sold.
Vendors must remain in good standing to keep benefits.

These spots are closed and cannot be reassigned.

C. THE CIRCLE OF FIFTEEN (8–15)

Benefits:

9% commission for the first year
No listing fees for two-years
Early Circle Badge
Optional feature rotation during launch period

After the first year:

Vendor shifts to the standard commission rate.

Restrictions:

Status cannot be transferred or sold.
Vendors must remain in good standing to keep benefits.

These spots are closed and cannot be reassigned.

D. THE FIRST TWENTY-FIVE (16–25)

Benefits:

10% commission for the first year
No listing fees for the first year
Founding Vendor Badge

After the first year:

Vendor shifts to the standard commission rate.

Restrictions:

Status cannot be transferred or sold.
Vendors must remain in good standing to keep benefits.

These spots are closed and cannot be reassigned.

E. THE FOUNDERS’ GUILD (26–50)

Benefits:

10% commission for 6 months
No listing fees for six months
Founding Vendor Badge

After six months:

Vendor shifts to the standard commission rate.

Restrictions:

Status cannot be transferred or sold.
Vendors must remain in good standing to keep benefits.

3. Requirements to Receive Founder Benefits

Founder benefits activate only when the Vendor:

Creates their vendor account
Builds their store profile (banner, logo, bio, policies)
Uploads at least 5 live products
Connects Paypal/Stripe for payouts
Remains active during the launch period (first 90 days of launch)

Founders who fail to complete setup may forfeit their slot, which may be reassigned at Witches Marketplace’s discretion.

4. Maintaining Founder Status

To keep Founder benefits:

Vendors must remain in good standing by:

Following all Marketplace policies
Avoiding fraudulent or dangerous listings
Maintaining accurate inventory
Shipping on time
Responding to customers within 3 business days
Maintaining an active store with at least 2 products every 6 months

Failure to maintain good standing may result in temporary suspension of benefits or permanent removal from the Founder tier.

Sacred Seven’s lifetime commission remains locked unless the Vendor is removed for serious violations.

5. Removal From Founder Status

Founder benefits may be revoked if the Vendor:

Repeatedly violates Marketplace policies
Abandons their shop
Refuses to meet basic operational requirements
Engages in harassment, discrimination, or harmful behavior
Sells prohibited items
Commits fraud or chargeback abuse
Attempts to circumvent fees or encourage off-platform sales

In cases of severe violations, the Marketplace may permanently revoke Founder status without reinstatement.

6. Transfers & Ownership

Founder status:

May NOT be transferred, sold, or assigned to another person or business.
Is bound to the Vendor account and legal entity that signed up.

If a Vendor closes their shop, their Founder slot is considered vacant and may be reassigned at Marketplace discretion.

The only exception:
If a Vendor legally changes their business structure (e.g., sole proprietor → LLC), Founder status may be updated to the new entity upon approval.

7. Platform Fees & Adjustments

Commission guarantees:

Sacred Seven commission is locked for life and will never increase unless the Vendor violates policy.

All other tiers transition to standard marketplace rates after their first-year or second-year benefit period.

The Marketplace may adjust fees for new sellers, but founder perks remain protected as outlined.

Payment Processing Fees
All payments are processed through third-party payment processors (e.g., Stripe, PayPal).
Standard processing fees (currently approximately 2.9% + $0.30 per transaction) are deducted before vendor payouts.
Processing rates are set by the payment processor and may change without notice.

8. Founders and Promotions

Founders agree that the Marketplace may:

Feature their shop
Display their product images
Mention them in promotional campaigns
Showcase their founding status publicly

This is part of the Founder promotional visibility benefit.

9. No Guarantee of Sales

Founder status provides perks, visibility, and reduced fees, but it does not guarantee sales, traffic, or revenue.

Marketplace performance varies by product type, shop quality, and Buyer demand.

10. Agreement Duration

These Founder Terms:

Begin when the Vendor accepts their Founder invitation
Remain in effect as long as the Vendor operates a compliant shop
Terminate only through Vendor closure, removal, or serious policy violation
